10. Account Termination

- Extended inactivity (over 12 months)

10.3 Effect of Termination

11. Disclaimers and Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. BANKROLLS INC. DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING:

12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BANKROLLS INC. SHALL NOT BE LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
- SERVICE INTERRUPTIONS OR TECHNICAL FAILURES
- THIRD-PARTY ACTIONS OR OMISSIONS
- UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF COMMISSIONS PAID TO YOU IN THE 12 MONTHS PRECEDING THE CLAIM, OR $1,000, WHICHEVER IS GREATER.
13. Indemnification
You agree to indemnify, defend, and hold harmless Bankrolls Inc., its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service or violation of these Terms
- Your affiliate marketing activities or promotional content
- Your violation of any law, regulation, or third-party rights
- Any content you submit, post, or transmit through the Service
- Your breach of any representation or warranty made herein
14. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in San Francisco County, California. You consent to the personal jurisdiction of such courts.
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
